The Association shall be known as the "GERMAN BUSINESS ASSOCIATION" in English, and as the "DEUTSCHE KAUFMANNSCHAFT" in German.
Place of business, branch offices
Somerset Chancellor Court, 05th floor, 21-23 Nguyen Thi Minh Khai Street, District 1, Ho Chi Minh City Or at such other address in the Socialist Republic of Vietnam as the Board may decide from time to time. Branch offices can be established at such addresses as approved in due course
Board of the German Business Association
The Board will be elected on an annual basis by a ballot of the voting members. Each voting member will vote for four of the nominated candidates standing for election. The four candidates receiving the highest number of votes shall create the Board. In the event of an equal number of votes for the fourth member, the election of this position can be conducted by a draw.
If one of the elected Board members ceases to be a member for any reason, or his resignation from the Board is accepted by the remaining Board members, the remaining Board members can elect another eligible member to fill the vacancy until the next annual ballot.
The members of the Board shall appoint amongst themselves a President ("Vorstandsvorsitzender/in"), a Vice-President (Vize-Vorstandsvorsitzender/in), and a Treasurer ("Schatzmeister/in"). All Board members can stand for re-election in the next term. Persons with diplomatic privileges and immunities shall not hold office on the Board.
The Board of the German Business Association shall manage the affairs of the association and shall represent the association to any outside party. The Board can appoint an Executive Officer ("Geschaeftsfuehrer/in") to conduct the business and administrative operations on its behalf.
The Board shall meet at least once every 3 months at such time and place, as the Board finds appropriate, whereby an appointed Executive Officer is to attend.
All decisions of the Board must be made with a majority of the present Board Members. Not less than 3 members of the Board form the quorum for decisions. The president has a casting vote in such meetings, should a tie arise.
The Board members, and members acting and representing the German Business Association in sub-committees on specific projects, act solely on a voluntary basis in the interests of the German Business Association; the Board members, the Executive Officer, sub-committee members and members assume no liability for debts or obligations of the German Business Association unless this is given in writing for explicit cases.
